These Terms of Service ("Terms") govern the use of this website and, together with the written proposal or agreement accepted by the client, the services provided by VM Digital Consulting LLC ("VM Digital Consulting", "we", "us").
1. About Us
VM Digital Consulting LLC is a limited liability company with its business address at 30 N Gould St Ste R, Sheridan, WY 82801, United States. We can be contacted at info@vmdigitalconsulting.com.
2. Our Services
We provide digital marketing consulting and management services to businesses. These include local lead generation, social media management, digital advertising, website and conversion optimization, email marketing and strategic consulting.
Our services are delivered remotely. We do not sell or ship physical goods.
3. Proposals and Agreements
The scope of work, deliverables, timeline and fees for each engagement are set out in a written proposal. The proposal becomes binding once it has been accepted by both parties. If a proposal and these Terms differ, the proposal prevails.
4. Fees and Payment
Fees and the billing schedule are stated in the proposal. Unless the proposal provides otherwise, invoices are issued in US dollars and are payable by the due date shown on the invoice. Monthly retainers are invoiced in advance.
If an invoice remains unpaid after the due date, we may suspend work after giving written notice.
5. Advertising Spend and Third-Party Costs
Advertising budgets are paid by the client directly to the advertising platforms and are not included in our fees. Other third-party costs, such as software subscriptions, are incurred only with the client's prior approval.
6. Client Responsibilities
To allow us to carry out the services, the client agrees to:
- provide accurate information and timely access, feedback and approvals;
- ensure that its products, services and advertising claims comply with applicable law and with the policies of the platforms used;
- remain the owner of its advertising, analytics and social media accounts.
7. Term, Cancellation and Refunds
The duration of an engagement and the notice required to end it are set out in the proposal. Cancellations and refunds are handled as described in our Refund Policy.
8. Results
Marketing outcomes depend on many factors outside our control, including market conditions, the client's offer and budget, and changes made by advertising platforms. We do not guarantee specific results. Any examples or figures we present describe past or illustrative situations and are not a promise of future performance.
9. Intellectual Property
The text, design and graphics of this website belong to VM Digital Consulting LLC or are used with permission, and may not be reproduced for commercial purposes without our written consent.
Deliverables created specifically for a client become the client's property once the related fees have been paid in full. We retain ownership of our methods, templates and know-how. Materials supplied by the client remain the client's property and are used by us only to provide the services.
10. Confidentiality
Each party agrees to keep confidential any non-public information received from the other in connection with an engagement, and to use it only for the purposes of that engagement.
11. Use of This Website
You may use this website for lawful purposes only. You agree not to interfere with its operation, attempt to gain unauthorized access to it, or submit false or misleading information through it.
12. Third-Party Platforms and Links
Our services rely on platforms operated by third parties, which apply their own terms and policies. We are not responsible for decisions or changes made by those platforms. Where this website links to other sites, we are not responsible for their content or practices.
13. Disclaimer and Limitation of Liability
This website is provided on an "as is" basis. To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential losses, or for loss of profit or revenue. Our total liability in connection with any services is limited to the fees paid to us for those services during the six months before the claim arose.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any dispute will be submitted to the courts located in the State of Wyoming.
15. Changes to These Terms
We may update these Terms from time to time. The version published on this page, with the date shown at the top, is the one in force. Engagements already under way continue to be governed by the proposal accepted by the client.
